Please read these terms and conditions carefully. All contracts that the instructors may enter into from time to time (for the provision of the instructor’s services) shall be governed by these terms and conditions, and the coach will ask the client for the client’s express written acceptance of these Terms and conditions before providing services to the students
If you are an instructor, you acknowledge and agree that you are solely and fully responsible for any and all Content you post and publish in your Instructor Profile and any and all Teaching Services you provide to Clients through the Services. Accordingly, you represent and warrant that your Teaching Services and any Content you post and provide (i) will not breach any agreements you have entered into with any third parties, including obligations of confidentiality, and (ii) will (a) be in compliance with all applicable laws rules and regulations that may apply, (b) be truthful, accurate and not misleading, and (c) not conflict with the rights of third parties.
HippoCampus Hub assumes no responsibility for Users' compliance with or fulfillment of any Arrangements with other Users, including early termination of an Arrangement by a User, or duties to third parties, or compliance with applicable laws, rules and regulations. HippoCampus Hub does not endorse any Instructor, student, Teaching Service or Content.
Instructor Rules
1. Course Delivery, Listings, Selling, Usage & Manage:
Instructor will provide HippoCampus Hub with the full contents, materials, images and videos with relevant details of the Courses in the Dropbox, Google drive or any other format prescribed by HippoCampus Hub and described on Exhibit A. HippoCampus Hub will publish and list the Courses on its websites (hippocampushub.com) (“HippoCampus Hub ”), and on various reputable advertising sites. Subject to the terms and conditions of this Agreement, Instructor hereby grants HippoCampus Hub, during the term of this agreement a permanent right and license to sell, reproduce, distribute, publicly perform, offer, market and otherwise use the Courses to the Students and for these purposes only. For the purposes of this agreement, “sale” or “selling” with respect to the Courses means “licensed” and “licensing”; without limiting the foregoing, HippoCampus Hub acknowledges and agrees that all Courses are licensed, and not sold, to Students. The instructor has the right to amend, update and/or remove any course or any content of a course at any time.
HippoCampus Hub will be exclusively responsible for the assessment of the students who bought courses through the website and will provide all necessary customer care, support, information and certifications to the students. Instructor hereby agrees that HippoCampus Hub website (hippocampushub.com) may record all or any part of any Courses (other than any part that is Instructor’s intellectual property) including voice chat communications for quality control and delivering, marketing, promoting, demonstrating or operating the Services; “Services” means HippoCampus Hub ’s marketing, delivery, administration, maintenance and provision of the Courses to Students and potential Students. Any recording of a Course shall be deemed a copy and/or derivative work of the Course.
HippoCampus Hub agrees to (i) perform the Services in a competent and commercially reasonable fashion; (ii) manage and maintain the HippoCampus Hub Websites in a commercially reasonable fashion, at its sole expense, to create, manage, operate, maintain and host its Websites and other technology, and all content contained therein, and shall ensure that the Websites have commercially reasonable operating policies and procedures applicable to its Website, including without limitation, commercially reasonable terms of use and privacy policies that are in accordance with all applicable laws; and (iii) will ensure that its marketing and provision of the Courses are done with good business ethics and in a commercially reasonable manner, and without prejudicing the reputation of Instructor or Instructor’s products and services, including the Courses.
2. Course Pricing:
HippoCampus Hub will be free to determine the price (“Course Price”) or any Course; provided, however, that in no event shall the Course Price be offered at or below the (“Lowest Price”), regardless of whether the Course is offered alone or in combination with other courses. If a Course is offered at a price equal to or lower than the Lowest Price, HippoCampus Hub shall calculate the profit as if the Course had been offered at the Lowest Price. Courses may not be bundled with any other third-party courses, offerings or other content.
3. Revenue:
You give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.
HippoCampus Hub makes all instructor payments in Canadian dollars (CAD) regardless of the currency with which the sale was made. HippoCampus Hub is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur. Your revenue report will show the sales price (in local currency) and your converted revenue amount (in CAD).
HippoCampus Hub will take 30% of all transactions after Stripe service fees and Taxes. The educator/professional will receive 70%.
We reserve the right to change this revenue sharing percentage without prior notice.
4.Transaction Taxes
If a student purchases a product or service in a country that requires HippoCampus Hub to remit national, state, or local sales or use taxes, value added taxes (VAT), or other similar transaction taxes ("Transaction Taxes"), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due. For purchases through mobile applications, applicable Transaction Taxes are collected by the mobile platform (such as Apple's App Store or Google Play).
5. Payment
For us to pay you in a timely manner, you must own a Stripe account in good standing and must keep us informed of the correct email associated with your account. You must also provide any identifying information or tax documentation necessary for payment of amounts due, and you agree that we have the right to withhold appropriate taxes from your payments.
We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.
Depending on the applicable revenue share model, payment will be made within 7-10 days after the class has started.
As an instructor, you are responsible for determining whether you are eligible to be paid by a Canadian company. We reserve the right not to pay out funds in the event of identified fraud, violations of intellectual property rights, or other violations of the law.
If we cannot settle funds into your payment account after the period of time set forth by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by submitting those funds to the appropriate government authority as required by law.
Instructor Obligations
As an instructor, you are responsible for all content that you post, including lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements ("Submitted Content").
If you submit any articles, tips or videos for publication on www.hippocampushub.com, you retain copyright, but agree to grant to HippoCampus Hub. a nonexclusive license to use, edit, publicly display, advertise, reproduce and distribute such content for any purpose, including producing derivative works, or incorporating into other works. HippoCampus Hub will hold this license indefinitely. All content you submit to us for publication must be original content only, and we are entitled to edit such content to make it suitable for publication without further consent from or notification to you.
You agree not to post any of the articles or tips you submit to HippoCampus Hub. anywhere else on the Internet for publication, but may re-publish the same content if it is off the Internet. You also agree that you do not have any claim to any intellectual property or derivative work based on these articles, tips or videos produced by HippoCampus Hub. This only applies to articles, tips and videos submitted by you for publication on www.hippocampushub.com, not material hosted on your subdomain of www.hippocampushub.com. It also does not apply to any of your coaching data, programs, software, courses, articles and other information that we host in our databases, but do not retain any rights to or control over.
You have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your submitted content and use of the services; and
You warrant that you will not:
Post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
Post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the services or to any user;
Use the services for business other than providing tutoring, teaching, and instructional services to students;
Engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
Frame or embed the services (such as to embed a free version of a course) or otherwise circumvent the services;
Impersonate another person or gain unauthorized access to another person's account;
Interfere with or otherwise prevent other instructors from providing their services or content; or
Abuse HippoCampus Hub resources, including support services.
License to HippoCampus Hub
You grant HippoCampus Hub the rights detailed in the terms of service to offer, market, and otherwise exploit your submitted content. This includes the right to add captions or otherwise modify submitted content to ensure accessibility. You also authorize HippoCampus Hub to sublicense these rights to your submitted content to third parties, including to students directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.
You have the right to remove all or any portion of your submitted content from the services at any time. Except as otherwise agreed, HippoCampus Hub 's right to sublicense the rights in this section will terminate with respect to new users 60 days after the submitted content's removal. However, (1) rights given to students before the submitted content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and (2) HippoCampus Hub's right to use such submitted content for marketing purposes shall survive termination.
We may record and use all or any part of your submitted content for quality control and for delivering, marketing, promoting, demonstrating, or operating the services. You grant HippoCampus Hub permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the services, your submitted content, or HippoCampus Hub 's content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.
Trust & Safety Policies
We reserve the right to remove content, suspend payouts, and/or ban instructors for any reason at any time, without prior notice, including in cases where:
an instructor or content does not comply with our policies or legal terms (including the Terms of Service);
content falls below our quality standards or has a negative impact on the student experience;
an instructor engages in behavior that might reflect unfavorably on HippoCampus Hub or bring HippoCampus Hub into public disrepute, contempt, scandal, or ridicule;
an instructor engages the services of a marketer or other business partner who violates HippoCampus Hub 's policies;
an instructor uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates HippoCampus Hub 's policies; or
as determined by HippoCampus Hub in its sole discretion.
Relationship to Other Users
Instructors don't have a direct contractual relationship with students, so the only information you'll receive about students is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those students on the HippoCampus Hub platform, and that you won't solicit additional personal data or store students' personal data outside the HippoCampus Hub platform. You agree to indemnify HippoCampus Hub against any claims arising from your use of students' personal data.
Instructor feedback, ratings and service
HippoCampus Hub may display feedback ratings for Instructor. These ratings are not a reflection of our endorsement or criticism of the instructor. We make no statements or claims about the quality of service provided by the instructor listed on our website, nor do we check or guarantee their experience or credentials.
Refunds
You acknowledge and agree that students have the right to receive a refund, as detailed in the Terms of Service. Instructors will not receive any revenue from transactions for which a refund has been granted under the Terms of Service.
If class is cancelled then we need to issue a refund and the instructor does not get paid. If the instructor starts the class and is a couple classes into it and then cancels the remaining classes (i.e., In the case of an 8-week session) then we issue a refund for the undelivered class portion and instructor does not get paid for it and since we have already paid the instructor out, they must refund the portion owed.
If a student asks for a refund, we will request the payment back from the instructor and issue the refund to the student.
Trademarks
While you are a published instructor and subject to the requirements below, you may use our trademarks where we authorize you to do so.
You must:
only use the images of our trademarks that we make available to you, as detailed in any guidelines we may publish;
only use our trademarks in connection with the promotion and sale of your Submitted Content available on HippoCampus Hub or your participation on HippoCampus Hub ; and
immediately comply if we request that you discontinue use.
You must not:
Use our trademarks in a misleading or disparaging way;
Use our trademarks in a way that implies that we endorse, sponsor, or approve of your submitted content or services; or
Use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.
Delete your account
Instructions on how to delete your instructor account. We'll use commercially reasonable efforts to make any remaining scheduled payments that are owed to you before deleting your account. You understand that if students have previously enrolled in your submitted content, your name and that submitted content may remain accessible to those students after your account is deleted. If you need help or encounter difficulty deleting your account, you can contact us.
Updating these terms
From time to time, we may update these terms to clarify our practices or to reflect new or different practices (such as when we add new features), and HippoCampus Hub reserves the right in its sole discretion to modify and/or make changes to these terms at any time.
If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our services. Modifications will become effective on the day they are posted unless stated otherwise.
Your continued use of our services after changes become effective shall mean that you accept those changes. Any revised terms shall supersede all previous terms.
Changes to these Terms
We reserve the right to alter this Terms at any time. Such alterations will be posted on our website. You can also obtain an up-to-date copy of our Terms by contacting us.
